The BOSON SYSTEMS website sells the following products: night vision systems and accessories.

The customer declares that they have read and accepted these general terms and conditions of sale prior to placing an order. Order validation shall therefore constitute full acceptance of the general terms and conditions of sale. acceptation des conditions gรฉnรฉrales de vente.

PrincipLes

These terms and conditions represent the entire agreement between the parties. The buyer is deemed to accept them without reservation.

They apply to the exclusion of any other conditions, including those applicable to sales in-store or through other distribution and marketing channels.

They are accessible on the BOSON SYSTEMS website and shall prevail, where applicable, over any other version or conflicting document.

The seller and the buyer agree that these general terms and conditions exclusively govern their relationship. The seller reserves the right to modify them at any time. They become effective once published online.

If a sales condition is missing, it will be considered governed by customary practices in the distance selling sector for companies based in France.

These general terms and conditions were last updated on March 31, 2025 and are valid until December 31, 2026.

Content

These terms and conditions aim to define the rights and obligations of the parties in the context of the online sale of goods offered by the seller to the buyer.

These terms apply only to purchases made on the BOSON SYSTEMS website and delivered within the European Union. For any delivery to French overseas territories (DOM-TOM) or outside the EU, please send an inquiry to: sales@bosonsystems.io

These purchases concern the following products: IT systems, software, technology services, and associated accessories.

Pre-contractual Information

The buyer acknowledges having received, prior to placing the order and entering into the contract, in a clear and comprehensible manner, these terms and all the information listed in Article L. 221-5 of the French Consumer Code.

The following information is provided clearly and understandably:

  • the essential characteristics of the goods;
  • the price of the goods and/or how the price is calculated;
  • if applicable, all additional transport, delivery, or postage costs and any other possible charges;
  • where the contract is not immediately fulfilled, the date or period by which the seller undertakes to deliver the goods, regardless of price;
  • information relating to the identity of the seller, including postal, telephone, and electronic contact details, business activity, warranties, digital content functionality, and where relevant, its interoperability, the existence and implementation conditions of warranties and other contractual terms.

Order

The buyer may place an order online from the catalog and via the order form available on the website, subject to stock availability.

The buyer will be notified if the ordered item is unavailable.

To validate the order, the buyer must accept these terms by clicking where indicated, select the delivery address and method, and confirm the payment method.

The sale shall be deemed final:

  • upon the sellerโ€™s confirmation of order acceptance sent by email to the buyer;
  • after full payment has been received;
  • and after submission of a copy of the buyerโ€™s national ID or official document that matches the delivery address.

All orders constitute acceptance of the prices and descriptions of available products. Disputes will be handled through exchange or the warranties mentioned below.

In certain cases, such as payment failure, incorrect address, or other account issues, the seller reserves the right to suspend the order until the issue is resolved.

Electronic Signature

Providing a credit card number online and finalizing the order shall constitute proof of:

  • the buyerโ€™s commitment to pay the order total;
  • explicit agreement to all operations completed.

Order Confirmation

The seller shall provide confirmation of the order by email.

Proof of Transaction

Digital records stored securely in the sellerโ€™s systems will be considered valid proof of communications, orders, and payments made between the parties. Order forms and invoices are archived on reliable, durable media and may be produced as evidence.

Product Information

Products covered by these terms are those listed on the sellerโ€™s website and identified as sold and shipped by the seller. They are available while supplies last.

Products are described and presented as accurately as possible. However, the seller cannot be held liable for any errors or omissions.

Product photos are non-contractual.

Prices

The seller reserves the right to change prices at any time but agrees to apply the rates in effect at the time of the order, subject to availability.

Prices are shown in euros, excluding taxes (HT) and excluding delivery costs. VAT and shipping fees are calculated and displayed before final checkout.

Any change in applicable VAT rates will automatically be reflected in the product prices.

If new taxes or contributions (e.g. environmental) are introduced or changed, whether increased or decreased, this may affect the final product price.

Payment Methods

This is a purchase with an obligation to pay. Placing the order implies full payment from the buyer.

The buyer may choose from the payment methods offered by the seller and listed on the website. The buyer confirms that they have the necessary authorization to use their selected payment method.

The seller reserves the right to suspend order processing and delivery in the event of payment refusal or non-payment. The seller may also refuse to fulfill any order from a buyer with an outstanding dispute or unpaid previous order.

Full payment is required at the time of ordering, using one of the following methods:

Product Availability โ€“ Refund โ€“ Termination

Except in cases of force majeure or during clearly announced online store closure periods, shipping times will, subject to stock availability, be those indicated below. Shipping times start from the date of order confirmation as stated in the confirmation email.

For deliveries within the European Union, the usual delivery time for in-stock items is 2 to 3 weeks from the day after the order is placed.

For deliveries to the French overseas territories (DOM-TOM) or outside the European Union, delivery conditions will be specified to the buyer on a case-by-case basis.

If the agreed delivery date or period is not met, the buyer must instruct the seller to perform within an additional reasonable time.

If the seller still fails to deliver after this new period, the buyer may cancel the contract.

This procedure must be carried out by registered letter with acknowledgment of receipt or any durable written medium.

The contract will be deemed terminated upon receipt of this cancellation notice by the seller, unless the seller performs in the meantime.

However, the buyer may terminate the contract immediately if the above delivery time was an essential condition of the contract.

In such case, the seller must refund all amounts paid by the buyer within 14 days following the contract cancellation date.

If a product is unavailable, the buyer will be notified as soon as possible and may cancel the order. The buyer may choose either a full refund within 14 days or exchange for another product.

Delivery Terms

Delivery refers to the transfer of physical possession or control of the product to the buyer. Products are delivered as specified when placing the order.

Items are delivered to the address provided by the buyer on the order form. It is the buyerโ€™s responsibility to ensure its accuracy. Any parcel returned due to an incorrect or incomplete address will be reshipped at the buyerโ€™s expense.

The buyer may request that the invoice be sent to a billing address other than the delivery address by indicating this when placing the order.

In case of absence at the time of delivery, a delivery notice will be left for the buyer to retrieve the parcel at the indicated location and time.

If delivery is made in person, an ID may be requested.

If the original packaging is damaged, torn, or opened at delivery, the buyer must check the contents. If damaged, the buyer must refuse the parcel and note a reservation on the delivery slip (e.g., parcel refused due to damage).

The buyer must write down any delivery anomaly (e.g., missing item, damaged product) on the delivery note with signature.

This verification is considered done once the delivery note is signed by the buyer or an authorized party.

The buyer must confirm these reservations by registered letter to the carrier within two working days and send a copy to the seller at sales@bosonsystems.io.

If a return is required, the buyer must contact the seller within 14 days of delivery. Returned products must be in original condition (packaging, accessories, instructions, etc.).

Product Warranty

Legal warranty of conformity

According to Articles L. 217-4 et seq. of the French Consumer Code, the seller guarantees the conformity of the goods sold.

The buyer has two years from the date of delivery to take action. The buyer may choose repair or replacement. Proof of non-conformity is not required within 24 months for new goods (6 months for used goods).

Warranty against hidden defects

Under Articles 1641 to 1649 of the French Civil Code, the buyer may claim a warranty against hidden defects. The buyer must prove that the defect existed at the time of purchase. The action must be initiated within two years of discovering the defect. The buyer may choose to cancel the sale or receive a price reduction.

Commercial warranty

Some products may benefit from an additional warranty stated on the product page. This warranty does not cover normal wear and tear, misuse, or damage caused by third parties.

Right of Withdrawal

In accordance with Article L.221-18 of the French Consumer Code, the buyer has 14 days from delivery to exercise the right of withdrawal without justification or penalty.

Products must be returned in original condition, complete with packaging, accessories, and instructions. Return costs are borne by the buyer.

The right of withdrawal can be exercised via email to sales@bosonsystems.io. The seller will acknowledge receipt on a durable medium.

Refunds, including initial shipping fees, will be processed within 14 days of receipt of the returned goods or proof of dispatch by the buyer.

Exceptions to the right of withdrawal: In accordance with Article L221-28, the right of withdrawal does not apply to customized or unsealed products that cannot be returned for hygiene or health reasons.

Force Majeure

Any circumstances beyond the control of the parties preventing the normal performance of their obligations shall be considered as grounds for exemption and lead to suspension of those obligations.

The party invoking such circumstances must immediately notify the other party of their occurrence and eventual resolution.

Events considered force majeure or fortuitous events include those recognized by French jurisprudence, such as transportation blockages, earthquakes, fires, storms, floods, lightning strikes, and disruption of telecommunications networks not under the control of the customer.

The parties will discuss the impact of the event and agree on the conditions for contract continuation. If the force majeure lasts more than three months, these general terms and conditions may be terminated by the affected party.

Intellectual Property

The website content remains the exclusive property of the seller, the sole holder of all intellectual property rights.

Buyers agree not to make any use of this content. Any full or partial reproduction of this content is strictly prohibited and may constitute an infringement.

Personal Data

Personal data provided by the buyer are necessary for order processing and invoicing.

They may be shared with the seller’s partners responsible for executing, processing, managing, and paying for orders.

Processing of information via the website complies with applicable GDPR regulations.

The buyer has a permanent right to access, modify, rectify, and oppose the processing of their data. This right may be exercised at any time by emailing sales@bosonsystems.io

Only identification data related to delivered products may be retained for up to 10 years and made available to competent authorities upon request, in accordance with Article 85 of the GDPR.

Severability

If any clause of these terms is held to be invalid or declared as such by law, regulation, or a final court decision, all other clauses shall remain fully effective.

No Waiver

Failure by either party to enforce any provision of these terms shall not be construed as a waiver of that partyโ€™s rights.

Clause Titles

In case of ambiguity between a clause title and the clause itself, titles shall be disregarded.

Contract Language

These general terms and conditions are written in French. In the event of translation into one or more foreign languages, only the French version shall prevail in case of dispute.

Dispute Resolution and Mediation

The buyer may use conventional mediation, particularly via the Consumer Mediation Commission or existing sectoral mediation bodies, or any alternative dispute resolution method (e.g., conciliation).

Governing Law

These general terms and conditions are governed by French law. The competent court is the Judicial Court of Paris.

This applies to both substantive and procedural rules. In case of dispute, the buyer must first contact the seller to seek an amicable solution.
